By completing this form you represent and warrant to us that you are one of the following:

(A) A Self-Certified High Net Worth Individual
That is, you declare that you are a self-certified High Net Worth individual for the purposes of Article 48 of the Financial Services & Markets Act 2000 (Financial Promotions) Order 2005 (“FSMA(FP)”):

I. By declaring you are a self-certified High Net Worth Individual for the purposes of the FSMA(FP) you understand this means:

  • (a) you can receive financial promotions that may not have been approved by a person authorised by the FCA;
  • (b) the content of such financial promotions may not conform to rules issued by the FCA;
  • (c) by signing this statement you may lose significant rights;
  • (d) you may have no right to complain to either the FCA or the Financial Ombudsman Scheme;
  • (e) you may have no right to seek compensation from the Financial Services Compensation Scheme;

II. You are a self-certified High Net Worth Individual because at least one of the following applies:-

  • a) during the financial year immediately preceding the date on which this certificate is signed, you had an annual income of £100,000 or more; or
  • b) that you held throughout the financial year immediately preceding the date on which this certificate is signed, net assets (excluding your primary residence or any loan secured on it, any rights you may have under a qualifying contract of insurance (i.e. certain long-term insurance contracts), any benefits payable on termination of service, death or retirement to which you or your dependents may be entitled) to the value of £250,000 or more;

III. You accept that you can lose your property and other assets from making investment decisions based on financial promotions.

IV. You are aware that it is open to you to seek advice from someone who specialises in investments.

OR

(B) A Self-Certified Sophisticated Investor

That is, you declare that you are a self-certified Sophisticated Investor for the purposes of Article 50A of the Financial Services and Markets Act (Financial Promotions) Order 2005.

I. you understand this means:

  • (a) you can receive financial promotions that may not have been approved by a person authorised by the FSA;
  • (b) the content of such financial promotions may not conform to rules issued by the FSA;
  • (c) by signing the statement you may lose significant rights;
  • (d) you may have no right to complain to either the FCA or the Financial Ombudsman Scheme;
  • (e) you may have no right to seek compensation from the Financial Services Compensation Scheme;

II. you are a self-certified Sophisticated Investor because at least one of the following applies:-

  • a) you are a member of a network or syndicate of business angels and have been so for at least the last six months prior to the certificate date;
  • b) you have made more than one investment in an unlisted company in the two years prior to the certificate date;
  • c) you are working, or have worked in the two years prior to the certificate date, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises;
  • d) you are currently, or have been in the two years prior to the date of this Application Form, a director of a company with an annual turnover of at least £1 million.

III. You accept that you can lose your property and other assets from making investment decisions based on financial promotions.

IV. You are aware that it is open to you to seek advice from someone who specialises in investments.
